Property Ownership Options and Funding Structures

Property Ownership Options

How a property is owned determines how it can be financed, taxed, reported and eventually exited. Klean Capital treats ownership structure as a funding decision in its own right, taken before the capital is raised rather than renegotiated afterwards.

Outright ownership

Freehold ownership gives maximum control: no landlord, no lease events, and full capture of any uplift in value. The cost is capital locked into an asset that generates no trading return. For businesses with surplus liquidity and a long occupational horizon, that trade is often worth making; for growing operators, the same capital usually earns more inside the business.

Sale and leaseback

A sale and leaseback separates occupation from ownership. The occupier sells the asset, releases the capital and continues trading from the same premises under a negotiated lease. Klean Capital works across the sale and leaseback of commercial property, so terms — length, review basis, break rights, repairing obligations — can be shaped to the occupier’s operational needs rather than accepted as a standard investor template.

Joint venture ownership

Funding on a joint venture basis with developers lets a sponsor share both risk and upside with a capital partner. The JV suits development schemes, phased programmes and situations where the sponsor brings land, planning or expertise but not the full equity cheque. Governance, profit split, decision rights and exit mechanics are agreed at the outset, because unresolved JV terms are the most common cause of a stalled transaction.

Leveraged and hybrid holdings

Most structures sit between the extremes. Private equity, debt, mezzanine and PPP funding are combined case-by-case to produce a holding that fits the sponsor’s balance sheet, covenant appetite and reporting requirements. A mezzanine layer may preserve equity ownership while reducing cash contribution; a PPP structure may suit assets with a public-sector counterparty and long contracted income.

Acquiring operating assets

Ownership change is not always a property transaction alone. Klean Capital also purchases existing operational cleantech and waste-conversion projects through succession plans, giving owners of established facilities a route to realise value and giving incoming capital a proven, revenue-generating asset instead of construction risk.

Choosing between them

The right option depends on four things: how long the business intends to occupy, what return the released capital can earn elsewhere, how much control must be retained, and what the eventual exit looks like. Klean Capital works through those variables with sponsors before structuring, so the ownership model and the funding plan are built together.

Choose the ownership structure your funding plan needs

Freehold, leaseback, joint venture and hybrid holdings each change what can be raised, at what cost and on what tenor — Klean Capital models the options before the structure is fixed.
