Preferred Ownership Financing, Succession Plans and Sale and Leaseback
Preferred Ownership Financing
Not every owner wants more debt, and not every founder wants to keep running a plant for another decade. Preferred ownership financing covers the structures Klean Capital uses when the answer lies in the ownership of the asset itself rather than in another tranche of leverage.
Preferred capital in the project company
A preferred position ranks ahead of common equity for distributions and on exit, without carrying the fixed amortisation of senior debt. For a sponsor that is cash-constrained during ramp-up, that distinction is decisive: the project pays the preferred return when it generates cash rather than when a loan schedule demands it. Klean Capital combines private equity, debt, mezzanine capital and PPP funding case by case, and preferred structures frequently sit between a sponsor's common equity and the senior layer.
Succession plans for operating assets
Klean Capital also purchases existing operational cleantech and waste-conversion projects through succession plans. This suits founders approaching retirement, private owners whose backers need liquidity, and corporates divesting a non-core facility. The plant keeps operating, its contracts and staff continue, and the seller realises value without a disorderly wind-down or a forced sale into a thin market.
Sale and leaseback of commercial property
The same principle applies to real estate. Through sale and leaseback, an owner-occupier sells the property it trades from and takes back a lease, releasing equity locked in bricks and mortar while retaining full operational control of the site. For industrial sponsors, that released capital is often the cleanest source of project equity available to them.
Diligence before any transfer of ownership
Ownership transactions demand harder technical diligence than lending does, because the buyer inherits the plant's condition, its permits and its liabilities. Klean Industries provides due diligence, energy and waste audits, design and engineering review and feasibility work, and Klean Capital Inc. is wholly owned by Klean Industries, so valuation reflects what the asset can actually do rather than what its brochure claims.
Choosing the right route
The decision turns on what the owner needs. Capital with retained control points to a preferred tranche or a joint venture; a clean exit points to a succession purchase; property-backed liquidity points to sale and leaseback. Since 1998 Klean Capital has raised funding for over a hundred different transactions and can work through which route fits before terms are drafted.
How an ownership discussion begins
Klean Capital starts with the owner's objective rather than with a term sheet: how much capital is needed, over what horizon, and whether control is to be retained, shared or released. Only then does the firm propose a preferred tranche, a succession purchase or a property sale and leaseback.
Release capital without adding another repayment schedule
Klean Capital structures preferred positions, purchases operating cleantech and waste-conversion plants through succession plans, and arranges sale and leaseback of commercial property.
